CØNfidentiality ØATHs
This undertaking is entered into as of [DATE UPØN READING] by and between (“PRIME CANDIDATE”) and S/Ø/B, LLC (“TØP TIER”).
W I T N E S S E T H:
WHEREAS, PRIME CANDIDATE and TØP TIER are entering discussions concerning, among other things, the PSYCHIC ENLIGHTENMENT of PRIME CANDIDATE (the “ELUCIDATIØN”);
WHEREAS, in the course of the ELUCIDATIØN, TØP TIER will entrust PRIME CANDIDATE with certain PSYCHIC TRUTHS, FUTURIST METADATA, MYSTICAL VERISIMIUTUDES and ØTHER PHILØSOPHIES, SUPPØSITIONS and THEØREMS that are highly confidential in nature (the “KNØWLEDGE”); and
NØW, THEREFØRE, for good and valuable consideration, the receipt, sufficiency and unending value of which are hereby acknowledged, the by PRIME CANDIDATE hereby agrees:
That the ELUCIDATIØN and KNØWLEDGE, regardless of the form provided or maintained, (i) shall be held in the STRICTEST CØNFIDENCE, (ii) shall not be disclosed to ANYONE, (iii) shall not be used for ANY PURPOSE other than the ELUCIDATIØN, in each case without TØP TIER’s express prior written consent.
That PRØTECTION of the KNØWLEDGE is critical to TØP TIER’s ability to ELUCIDATE others and PRIME CANDIDATE shall be RESPØNSIBLE and liable to TØP TIER for any misappropriation or unauthorized disclosure of the KNØWLEDGE caused by PRIME CANDIDATE. Accordingly, the TØP TIER shall be entitled to injunctive or ØTHER equitable relief, in addition to all other remedies available at law or at equity.
The ØATH and all obligations hereunder shall terminate 138 years from today, unless otherwise extended by the parties hereto.
IN WITNESS WHEREOF, the PRIME CANDIDATE has executed this CØNFIDENTIALITY ØATH as of the date first above written ABØVE.
